What Is a Confirmation Statement?

A Confirmation Statement (form CS01) is a statutory filing submitted to Companies House that confirms all registered company details are accurate and up to date as of a specific review date.

Every private limited company (Ltd) and public limited company (PLC) registered in England, Wales, Scotland, or Northern Ireland must file one annually. The filing replaced the old Annual Return (form AR01) in June 2016.

The Confirmation Statement confirms or updates the following registered details:

  • Registered office address — the official address held at Companies House
  • Directors — names, dates of birth, service addresses, and appointment dates
  • Company Secretary — if one is appointed
  • Shareholders — names, addresses, and number of shares held
  • Share capital — the total issued share capital and class of shares (e.g., ordinary shares)
  • People with Significant Control (PSCs) — individuals or legal entities owning more than 25% of shares or voting rights
  • Standard Industrial Classification (SIC) codes — the nature of the company’s trading activities

A Confirmation Statement is not the same as annual accounts. Annual accounts (filed separately) report the company’s financial position, profit, loss, and balance sheet. When Do You Need to File a Confirmation Statement?

A Confirmation Statement must be filed at least once every 12 months. The first one is due within 12 months of the company’s incorporation date.

The 12-month period is called the confirmation period. Within this period, you can file the statement at any point — including early. You can file a Confirmation Statement early, before the review date, if your company details have changed and you want to update Companies House sooner.

Key filing deadlines:

  • First filing — within 12 months of the company incorporation date
  • Subsequent filings — within 14 days of the end of each 12-month review period
  • Early filing — permitted at any time within the confirmation period
  • Late filing — a criminal offence; director personally liable

Dormant companies must also file a Confirmation Statement. Being dormant does not exempt a company from this statutory obligation. If you have a dormant company, you still file a CS01 annually and may separately need to file accounts for dormant companies.

Can You File a Confirmation Statement Early?

Yes. You can file a Confirmation Statement early  before the 12-month review date  at any point within the confirmation period. Filing early does not reset your annual deadline.

Filing early is recommended when:

  • A director has been appointed or resigned
  • A shareholder has transferred shares
  • The registered office address has changed
  • A PSC has been added or removed
  • SIC codes need updating

If your company has had any structural or personnel changes in the past 12 months, file the Confirmation Statement as soon as possible to keep the Companies House register accurate. Inaccurate records are a compliance risk for directors.

What Happens If You Don’t File a Confirmation Statement?

Failing to file a Confirmation Statement is a criminal offence under the Companies Act 2006. Companies House will begin the process of striking off the company if no statement is received.

The consequences of non-filing:

  • Warning notice — Companies House issues a first-instance notice to the registered office address
  • Strike-off procedure — Companies House advertises the company for compulsory dissolution in the Gazette
  • Company struck off — the company is removed from the Companies House register
  • Director prosecution — directors face personal prosecution for failure to comply with statutory obligations
  • Bank account issues — banks freeze accounts of struck-off companies; all assets vest in the Crown

Once a company is struck off, it ceases to exist as a legal entity. All contracts become void. Employees are no longer employed by a legally recognised entity. Restoring a struck-off company requires a court application and costs significantly more than timely filing.

There is no statutory late-filing penalty for a Confirmation Statement (unlike accounts). But the consequences of persistent non-filing are far more severe than a financial penalty.

Do Dormant Companies Need to File a Confirmation Statement?

Yes. Dormant companies must file a Confirmation Statement every 12 months, regardless of trading activity. Being dormant does not remove this obligation.

A dormant company is a private limited company registered at Companies House that has had no significant financial transactions during the financial year. Dormant status applies to accounting obligations — not to statutory compliance filings.

Every dormant limited company must:

  1. File a Confirmation Statement annually — confirms company details
  2. File dormant accounts annually — confirms no financial activity
